2.2 You must be of legal age to use the Platform as a seller and have the authority to enter into legally binding agreements on behalf of your business entity.
3. Platform Services
3.1 The Platform provides a marketplace where sellers can list their products for sale and connect with potential buyers. The Company acts as an intermediary and does not take ownership of the products listed on the Platform.
3.2 The Company reserves the right to refuse service, suspend, or terminate any user account at its sole discretion if it believes the user has violated these Terms or engaged in any fraudulent or illegal activities.
4. Seller Obligations
4.1 As a seller on the Platform, you agree to:
4.1.1 Provide accurate and up-to-date information regarding your products, including descriptions, images, and pricing.
4.1.2 Fulfill orders promptly and accurately, meeting the quality standards and specifications outlined in your listings.
4.1.3 Respond to inquiries and communications from potential buyers and the Company's representatives in a timely and professional manner.
4.1.4 Maintain sufficient inventory levels to fulfill orders made through the Platform.
4.1.5 Comply with all applicable laws, regulations, and industry standards related to the sale and distribution of your products.
5. Commission Fees
5.1 The Company charges a commission fee for each sale closed on the Platform. The commission fee is calculated as an average of 6% of the total transaction value, excluding any applicable taxes or shipping fees.
5.2 The Company reserves the right to adjust the commission fee percentage at its sole discretion. Any changes to the commission fee will be communicated to sellers in advance.
6. Negotiation and Final Say
6.1 The Wigmore Wholesale team may engage in negotiations with potential buyers on behalf of the seller. However, the seller always has the final say in accepting or rejectingthe terms of the negotiated offer.
6.2 The seller retains the ultimate authority to accept or decline any offer presented by the Wigmore Wholesale team. The Company will communicate all negotiations and offers promptly to the seller, providing the necessary information for the seller to make an informed decision.
6.3 The Company will act in good faith to represent the seller's interests during negotiations, taking into account the seller's preferences and guidelines provided by the seller. However, the final decision rests with the seller, and the Company shall not be held responsible for any consequences resulting from the seller's acceptance or rejection of an offer.
7. Payment and Disbursements
7.1 The Company, at its discretion, may facilitate the collection of payments from buyers on behalf of the seller, subject to certain conditions and safeguards.
7.2 In cases where appropriate assurances, such as guarantees, certifications, or registrations, can be confirmed, or where the seller agrees to be paid by Letter of Credit, the Company will not handle the payment process on behalf of the seller. In such cases, the payment would be made directly to the seller.
7.3 The Company reserves the right to assess each transaction individually to determine if it will facilitate payment. Factors such as the nature of the products, the trustworthiness of the buyer, and any other relevant considerations will be taken into account in making this determination.
7.4 In transactions where the Company does not facilitate payment, it is the responsibility of the seller and the buyer to agree upon the payment terms and method directly. The Company will not be involved in the payment process in such cases.
7.5 The Company does not guarantee or assume any liability for the payment or distribution of funds between the buyer and the seller, except in cases where the Company expressly agrees to facilitate the payment.
7.6 The seller and the buyer agree to resolve any payment disputes or issues directly between themselves. The Company shall not be held responsible for any disputes or losses arising from the payment or distribution of funds between the parties.
7.7 The Company may provide guidance and support to sellers and buyers regarding secure payment methods and best practices, but it is ultimately the responsibility of the parties involved to ensure the safety and accuracy of their financial transactions.

8. Intellectual Property
8.1 As a seller, you represent and warrant that you have the necessary rights, licenses, and permissions to list and sell the products on the Platform. You retain all ownership rights to your intellectual property, including product images, descriptions, and trademarks.
8.2 By using the Platform, you grant the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display your product information solely for the purpose of promoting and facilitating the sale of your products on the Platform.
9. Limitation of Liability
9.1 The Company provides the Platform on an "as-is" and "as available" basis. While the Company strives to ensure the smooth operation of the Platform, it does not guarantee uninterrupted or error-free access to the Platform or its services.
9.2 The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to loss of profits, data, or business opportunities.
10. Governing Law and Dispute Resolution
10.1 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is registered.
10.2 Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties.
